Terms of Service

These Terms govern your access to and use of AdGenius (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind it.
1. Accounts
You must provide accurate information when registering and keep credentials secure. You are responsible for activity under your account. Notify us at admin@spintadigital.com if you suspect unauthorized use.
2. Acceptable use
- Do not use the Service to violate any law or third-party rights.
- Do not attempt to reverse engineer, disrupt, or overload the Service.
- Do not upload content you do not have the right to use, or that is illegal, deceptive, or infringing.
- Comply with the policies of any connected platform (Meta, Google, Shopify, etc.), including their advertising, community, and platform terms.
3. Connected platforms
The Service integrates with third-party platforms via APIs. You are responsible for maintaining valid accounts on those platforms and for the content and campaigns you run there. We are not responsible for the availability, accuracy, or policies of third-party platforms.
4. Your content
You retain ownership of content and data you submit to the Service. You grant us a limited license to host, process, and display that content solely to provide the Service to you and your workspace.
5. Fees
Paid plans are billed as described at checkout. Fees are non-refundable except where required by law. We may change pricing on prospective billing periods with notice.
6. Intellectual property
The Service, including its software, design, and content, is owned by AdGenius and its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights.
7. Termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms or if required for legal or security reasons. On termination, your right to use the Service ends and we may delete account data as described in the Privacy Policy.
8. Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee ad performance or business outcomes.
9. Limitation of liability
To the maximum extent permitted by law, AdGenius will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid for the Service in the twelve months preceding the claim.
10. Changes
We may update these Terms. If changes are material, we will notify you through the Service or by email. Continued use after the effective date constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which AdGenius operates, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory local law provides otherwise.
